Terms and Conditions

These Terms govern the use of the Teratio website and the provision of Teratio services. Project-specific proposals, statements of work and service agreements may contain additional terms that apply to a particular engagement.

01Introduction

These Terms and Conditions govern the use of the Teratio website and the provision of products and services by Teratio (“Teratio”, “we”, “us” or “our”).

By using our website, requesting a quotation or proposal, accepting a proposal, making payment, or otherwise engaging Teratio to provide services, you agree to these Terms and Conditions together with any proposal, quotation, statement of work, service agreement or other written agreement applicable to your project.

Where a project-specific proposal or agreement contains terms that differ from these general Terms and Conditions, the project-specific agreement will take precedence in relation to that project.

02Our Services

Teratio provides technology and digital services which may include:

  • Website design and development
  • Custom booking and appointment systems
  • Web applications and software development
  • Business management systems, portals and digital platforms
  • Integrations and automation
  • Hosting, maintenance and technical support
  • Consulting, configuration and implementation
  • Other technology or digital services agreed with a client

The exact services, deliverables, scope, price and expected timelines for a project will be defined in the relevant proposal, quotation or agreement.

03Proposals and Acceptance

A proposal represents Teratio's offer to perform the work described in that proposal.

A proposal may include the project scope, deliverables, price, payment schedule, estimated timeline and any project-specific conditions.

A project is considered commercially accepted when the client accepts the applicable proposal or agreement through the acceptance method provided by Teratio.

If a proposal has an expiry date, Teratio may revise pricing, availability or timelines after that date.

04Pricing and Payment

All prices are stated in South African Rand (ZAR) unless otherwise specified.

Any applicable VAT or other taxes will be identified in the relevant proposal or invoice.

Projects may be subject to a payment schedule consisting of a deposit and one or more subsequent payment milestones.

Where a deposit is required, Teratio is not required to commence the project until the required deposit has been received and confirmed.

Invoices must be paid by the due date shown on the invoice.

Teratio may pause work, withhold delivery, suspend services or delay launch where amounts legitimately due remain unpaid, subject to applicable law and any specific agreement with the client.

Unless otherwise agreed, final payment must be received before final launch, deployment or handover where the project's agreed payment schedule requires final payment before launch.

05Project Scope

The scope of a project is determined by the accepted proposal, statement of work, requirements and any subsequently approved change requests.

A request relating to an existing project is not automatically part of the original scope.

Where a client requests functionality, services, revisions or deliverables outside the agreed scope, Teratio may identify the request as additional work, provide an additional quotation or estimate, request approval from the client, and require payment or an additional payment arrangement before performing the work.

Corrections required because Teratio's work does not conform to an approved requirement will not be treated as new billable scope merely because corrective work is required.

06Client Responsibilities

The client agrees to provide Teratio with information, content, approvals, access credentials, feedback and other resources reasonably required to perform the services.

The client is responsible for ensuring that materials supplied to Teratio may lawfully be used for the project, including text, photographs, logos, trademarks, databases and other intellectual property.

Delays in providing required information, access or approvals may affect delivery dates.

Where a project is delayed because Teratio is waiting for the client, Teratio may revise the delivery schedule accordingly.

07Timelines

Any delivery date or project timeline communicated by Teratio is based on the information, scope, dependencies and client response times known at the time.

Unless expressly guaranteed in writing, project timelines are reasonable estimates rather than absolute guarantees.

Timelines may change because of client delays, changes in scope, delayed approvals, third-party dependencies, technical complications that could not reasonably have been anticipated, force majeure events, or other circumstances outside Teratio's reasonable control.

Teratio will communicate material changes to project timelines where reasonably possible.

08Client Review and Approval

Certain deliverables may require client review and approval.

Where Teratio requests formal approval, the client should review the relevant deliverable and either approve it or provide appropriate feedback.

An approval applies to the version or deliverable presented for approval. A subsequent request to change an approved item may constitute a change request.

09Revisions

The number and nature of revisions included in a project will be determined by the relevant proposal.

A revision does not mean an unlimited right to change the project's original scope.

A revision that materially introduces new functionality, new pages, new integrations, a new design direction or other work outside the agreed scope may be treated as additional work.

10Third-Party Services

Teratio projects may depend on third-party services including hosting providers, domain registrars, payment providers, email providers, APIs, cloud infrastructure, analytics platforms and other software services.

Where third-party services are used, their own terms, pricing, availability and policies may apply.

Teratio is not responsible for an outage, suspension, policy change, price change or discontinuation caused solely by a third-party provider outside Teratio's reasonable control.

Where practical, Teratio will assist the client in addressing issues affecting services managed by Teratio.

11Intellectual Property

Unless otherwise specified in the applicable proposal or agreement, intellectual property owned by either party before the project remains the property of that party.

Teratio retains ownership of its pre-existing intellectual property, methodologies, reusable components, development tools, frameworks, internal systems, know-how and other materials not created exclusively for the client.

Ownership or licensing of project-specific deliverables will be governed by the applicable proposal or agreement.

Where the agreement provides for transfer of ownership to the client, such transfer may be conditional upon full payment of all amounts due for those deliverables.

Third-party software, open-source software, fonts, plugins, libraries, stock assets and other licensed materials remain subject to their respective licences.

12Portfolio and Publicity

Teratio will not claim ownership of a client's trademarks or brand.

Unless otherwise agreed with the client, Teratio may identify completed publicly launched work as part of its portfolio and may identify itself as the technology or development partner responsible for the work.

A client may request confidentiality or exclusion from Teratio's public portfolio, which should be agreed in writing.

13Hosting, Maintenance and Ongoing Services

Hosting, maintenance, support or other ongoing services are separate from project delivery unless expressly included in the applicable proposal.

Recurring services may operate on monthly, annual or another agreed billing cycle.

Specific service levels, response times and maintenance obligations will be governed by the applicable service agreement or support plan.

14Support

Support after project completion is governed by the support or service arrangement applicable to the client.

A support request that constitutes new functionality or additional scope may be converted into separately quoted work.

15Suspension and Termination

Teratio may suspend services where reasonably necessary because of material non-payment, material breach of an agreement, unlawful use of Teratio's services, security risks, abuse of systems or personnel, or circumstances where continuing the service would expose Teratio or another party to material risk.

Where reasonably possible and appropriate, Teratio will give the client an opportunity to remedy the issue before termination.

Either party may terminate an ongoing agreement in accordance with its specific cancellation provisions and applicable law.

16Warranties and Liability

Teratio will perform its services with reasonable care and skill.

Technology services may nevertheless depend on third-party infrastructure, internet connectivity, browsers, devices, APIs and external platforms.

To the maximum extent permitted by South African law, Teratio will not be liable for indirect, incidental, special or consequential losses arising from circumstances outside its reasonable control.

Nothing in these Terms excludes or limits any right or liability that cannot lawfully be excluded or limited.

17Website Use

Users may not attempt to gain unauthorised access to Teratio systems, interfere with website security, introduce malicious software, scrape or copy protected content unlawfully, impersonate another person, or use Teratio's website for unlawful purposes.

18Privacy

Personal information collected by Teratio is handled in accordance with our Privacy Policy and applicable South African data protection law.

19Changes to These Terms

Teratio may update these Terms from time to time.

Changes will apply from the effective date displayed on the updated version and will not retrospectively alter an already accepted project agreement unless agreed or permitted by law.

20Governing Law

These Terms are governed by the laws of the Republic of South Africa.

Any dispute will be dealt with in accordance with South African law and any dispute-resolution mechanism contained in the applicable client agreement.

Nothing in these Terms is intended to exclude mandatory rights or protections that apply under South African law.
